Terms of Use

These Terms of Use apply to the Indevest marketing website and the Indevest workspace made available through the related app domain. Indevest is provided by Nuvention Group LLC.
By accessing the website, creating an account, starting a trial, using the Indevest workspace, or submitting a contact request, you agree to these Terms. If you use Indevest for a company, organization, client, or other entity, you represent that you have authority to accept these Terms for that entity.
What Indevest provides
Indevest is a workspace for evaluating, saving, and comparing business acquisition, expansion, and cash-flow-based investment opportunities. The product helps users enter assumptions, calculate evaluation KPIs, compare results against saved thresholds, organize saved analyses, and review opportunities before deciding whether deeper diligence is appropriate.
Available capabilities may include saved analyses, analysis groups, comparison history, plan-based metrics, optional Future Value Scenario context, CSV import on eligible plans, organization workspaces, AI-assisted summaries, billing controls, and administrative settings.
Account access
You are responsible for the accuracy of account information, the security of your credentials, and activity that occurs under your account. You must use accurate contact information and must not attempt to access another user's account or organization workspace without permission.
Some features require a verified email address, an active plan, an enabled workspace, or administrator configuration. If your organization account is managed by an owner or admin, your access may be changed, limited, or removed by that organization.
Plans, pricing, and feature availability
Plans, prices, limits, quotas, and included features may vary by environment and may be updated through the Indevest plan catalog. The marketing website may display plan information retrieved from Indevest, but your actual access is controlled by the plan and workspace active in the app.
Billing, checkout, subscription management, invoices, taxes, refunds, and payment methods may be handled by third-party payment providers and by the billing configuration active in the Indevest app. Unless a separate written agreement says otherwise, paid access is subject to the plan terms presented at checkout or in the app.
Plan limits, included usage, feature entitlements, analysis allowances, AI-summary availability, import limits, comparison limits, seats, storage access, or similar subscription benefits are service access rights tied to the active account, workspace, billing period, and plan. They are not cash, stored value, legal tender, property rights, or credits redeemable for money.
Unless the app, checkout page, or a separate written agreement says otherwise, unused plan limits do not roll over, cannot be transferred, sold, gifted, traded, exchanged, refunded, or converted into discounts or monetary value, and may expire or reset at the end of the applicable subscription, trial, promotional period, billing period, or workspace access period.
You are responsible for reviewing the plan, price, renewal timing, usage limits, enabled features, and workspace entitlements shown in the app. The app's billing and entitlement records control your available access. If you believe a plan limit, charge, or entitlement is incorrect, contact us promptly through the website contact form or the support channel available in the app.
Indevest may limit, suspend, revoke, or terminate plan benefits or account access if we reasonably believe the service is being misused, shared outside the permitted account or workspace, used to bypass limits, used in violation of these Terms, or used in a way that risks the security, reliability, or integrity of the service.
User inputs and saved work
You control the opportunity assumptions and other content you enter into Indevest. You are responsible for checking the accuracy, completeness, and appropriateness of all inputs, assumptions, thresholds, uploaded CSV data, saved analyses, and organization visibility settings.
In organization workspaces, records marked visible to the organization can be visible to active organization members and viewers according to the current product permissions. Client-specific or member-specific sharing is not currently the default organization visibility model unless the app later provides that feature.
Evaluation outputs and AI summaries
Indevest outputs depend on the information you enter, saved thresholds, enabled product features, and the active plan. Calculations, recommendation signals, warnings, comparisons, and reports are intended to support review and discussion, not to make a final decision for you.
AI-assisted summaries are optional product features. They may be limited by plan entitlement, provider configuration, usage limits, or provider availability. AI output can be incomplete, inaccurate, delayed, or unavailable. You are responsible for reviewing AI output before relying on it in any workflow.
No professional advice
Indevest supports structured business opportunity evaluation. It does not provide legal, tax, accounting, investment, securities, lending, appraisal, due-diligence, operational, or financial advice. You should consult qualified professionals before making acquisition, financing, tax, legal, accounting, employment, regulatory, or investment decisions.
Indevest does not guarantee investment returns, business performance, financing availability, tax treatment, valuation, exit value, buyer suitability, seller accuracy, or the outcome of any diligence process.
Acceptable use
You agree not to use Indevest to:
- violate applicable law or third-party rights
- submit unlawful, misleading, harmful, or infringing content
- interfere with, probe, overload, scrape, reverse engineer, or bypass the website, Indevest app, security controls, hCaptcha, rate limits, or access controls
- upload malicious code or attempt unauthorized access
- misuse organization visibility, invitations, viewer access, or exported information
- represent Indevest outputs as professional advice, guaranteed results, or final diligence conclusions
Intellectual property
The website, Indevest app, design, software, workflows, text, graphics, logos, trademarks, and other materials provided by Indevest are owned by Nuvention Group LLC or its licensors, except for content you submit or third-party materials used under their own terms.
You may use Indevest only as permitted by these Terms, the active plan, and any separate written agreement. No rights are granted except those needed to access and use the service as intended.
Third-party services
Indevest may rely on third-party services for hosting, security, hCaptcha verification, payment processing, email delivery, AI providers, analytics, or other operations. Those services may have their own terms and privacy practices.
Availability and changes
Indevest may update, improve, limit, suspend, or discontinue parts of the website or Indevest app. Features may change as the product evolves. Planned or future capabilities described in product materials are not commitments unless included in a signed written agreement.
Disclaimers
The website and Indevest app are provided on an "as is" and "as available" basis to the fullest extent allowed by law. Indevest does not warrant that the service will be uninterrupted, error-free, secure, compatible with every system, or that every output will be complete or accurate.
Limitation of liability
To the fullest extent allowed by law, Nuvention Group LLC and its owners, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunity, business interruption, loss of data, or acquisition decisions made using or related to Indevest.
Nothing in these Terms limits liability that cannot be limited under applicable law.
Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Unless applicable law requires another forum, any lawsuit or court proceeding related to these Terms, the marketing website, or the Indevest app must be brought in a state court located in Okaloosa County, Florida, or in a federal court with jurisdiction over claims arising in or serving Okaloosa County, Florida.
Changes to these Terms
Indevest may update these Terms from time to time. The effective date above shows when this version took effect. Continued use after updated Terms are posted means you accept the updated Terms.
